Terms of Service

By accessing or using Cadenzix (the "Service"), operated by Cadenzix, Inc. ("Cadenzix," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. We reserve the right to update or modify these Terms at any time. Continued use of the Service after any changes constitutes acceptance of the new Terms.

Cadenzix is an AI-powered platform that enables users to create, manage, and distribute AI-generated music artists, including but not limited to: audio tracks, cover art, artist profiles, and related content ("Content"). The Service is provided on a subscription basis with tiered credit plans.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorized use of your account.

The Service operates on a credit-based system. Credits are consumed when generating content (e.g., 100 credits per music track, 25 credits per cover art). Credits are non-transferable and have no cash value. Unused credits do not roll over between billing periods unless otherwise stated in your plan.

Subscription plans are billed monthly or annually as selected at checkout. All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

We reserve the right to modify pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Subject to your compliance with these Terms and payment of applicable fees, Cadenzix grants you a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and publicly perform the Content you generate through the Service for commercial and non-commercial purposes.

You retain ownership of the Content you generate using the Service. However, you acknowledge that AI-generated content may not be eligible for copyright protection in all jurisdictions, and you are solely responsible for understanding and complying with applicable intellectual property laws in your jurisdiction.

You grant Cadenzix a limited, non-exclusive license to use your Content solely to provide, maintain, and improve the Service, including for model training and quality assurance purposes, unless you opt out by contacting [email protected].

You agree not to use the Service to:

• Generate content that is defamatory, obscene, harassing, threatening, or otherwise objectionable
• Impersonate any real person, living or deceased, without explicit consent
• Create content that infringes on the intellectual property rights of third parties
• Generate content that promotes violence, discrimination, or illegal activity
• Attempt to reverse-engineer, decompile, or extract the underlying AI models
• Circumvent any access controls, rate limits, or security measures
• Use the Service for any unlawful purpose or in violation of any applicable laws
• Resell or sublicense access to the Service without prior written consent

We reserve the right to suspend or terminate accounts that violate these guidelines, with or without notice, at our sole discretion.

The Service integrates with third-party services including payment processors (Stripe) and AI model providers. Your use of these third-party services is subject to their respective terms of service and privacy policies. Cadenzix is not responsible for the practices or content of third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CADENZIX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CADENZIX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CADENZIX IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Cadenzix and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, with proceedings conducted in Atlanta, Georgia. You waive any right to participate in a class action lawsuit or class-wide arbitration.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Effective Date" at the top of this page and, where appropriate, by sending an email to the address associated with your account. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
